1. DEFINITIONS
1.1 "Customer": The person or entity who signs this Agreement or who accepts the Services provided by Equipped Technologies Inc.
1.2 "Services": Any services provided by Equipped Technologies Inc. as described in the Service Agreement and any additional services agreed upon between Equipped Technologies Inc. and the Customer.
1.3 "Agreement": This document, together with any other documents referred to herein.
2. AGREEMENT
2.1 The Customer agrees to engage Equipped Technologies Inc. to provide the Services, and Equipped Technologies Inc. agrees to provide such Services, in accordance with the terms and conditions set out in this Agreement.
3. TERM AND TERMINATION
3.1 This Agreement shall commence on the date the Customer accepts these terms and conditions and shall continue until terminated by either party in accordance with the provisions of this Agreement.
3.2 Either party may terminate this Agreement with thirty (30) days prior written notice.
4. PAYMENT
4.1 The Customer agrees to pay Equipped Technologies Inc. the fees as set out in the Service Agreement.
5. INTELLECTUAL PROPERTY
5.1 All Intellectual Property Rights in any works arising in connection with the performance of the Services by Equipped Technologies Inc. will remain the property of Equipped Technologies Inc.
6. CONFIDENTIALITY
6.1 Both parties agree to keep confidential all Confidential Information received from the other party and to use it strictly for the purposes of this Agreement.
7. LIABILITY
7.1 Equipped Technologies Inc.'s total liability under this Agreement shall not exceed the total amount of the fees paid by the Customer for the Services.
8. INDEMNITY
8.1 The Customer shall indemnify and hold harmless Equipped Technologies Inc. against all liabilities, costs, expenses, damages and losses suffered or incurred by Equipped Technologies Inc. arising out of or in connection with the Customer's breach of this Agreement.
9. GOVERNING LAW AND JURISDICTION
9.1 This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which Equipped Technologies Inc. is located.
10. ENTIRE AGREEMENT
10.1 This Agreement contains the entire agreement between the parties in relation to its subject matter.
BY ACCEPTING THIS AGREEMENT, THE CUSTOMER ACKNOWLEDGES THAT THEY HAVE READ AND UNDERSTOOD ALL OF ITS PROVISIONS, AND THAT THEY AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
